Experience

Doszhan specialises in corporate law, mergers and acquisitions, renewable energy, investment projects and commercial law. He advises international and Kazakhstan clients on complex transactions, regulatory matters, corporate governance and day-to-day business operations.

His practice has a particular focus on renewable energy and sustainable infrastructure. Doszhan has advised major international and state-owned energy companies on large-scale wind power and waste-to-energy projects, acquisitions of renewable energy assets, regulatory developments and corporate restructurings in Kazakhstan.

Doszhan is a member of the Kazakhstan Bar Association KazBar and an accredited AIFC legal adviser.

He is a native speaker of Kazakh and Russian and is fluent in English and French.

Selected Experience

  • Large-Scale Wind Power Projects. Acted as Kazakhstan legal counsel to major Chinese and international energy companies on the implementation of two separate 1 GW wind power projects in Kazakhstan.

  • Waste-to-Energy Project. Acted as Kazakhstan legal counsel to a major Chinese state-owned enterprise on the implementation of a waste-to-energy power plant project in Kazakhstan.

  • Acquisition of Renewable Energy Projects. Provided comprehensive M&A support to a Chinese state-owned power company on the acquisition of six renewable energy projects in Kazakhstan.

  • Renewable Energy Due Diligence and Restructuring. Conducted legal due diligence of renewable energy companies and project vehicles, including ten Kazakhstan companies reviewed for corporate restructuring purposes and companies considered for acquisition by international investors.

  • Renewable Energy Regulation. Advised on Kazakhstan’s first major renewable energy policy project aimed at developing the regulatory framework, improving auction procedures and enabling competitively tendered renewable energy projects.

  • Corporate Support for Renewable Energy Businesses. Advised foreign renewable energy companies on the registration, re-registration, restructuring and liquidation of Kazakhstan legal entities, branches and representative offices.

  • Banking and Financial-Sector M&A. Provided comprehensive legal support to a foreign investor on the acquisition of a major Kazakhstan bank.

  • Media and Industrial M&A. Advised on the acquisition of a major Kazakhstan television and radio holding comprising four companies, as well as a group of companies manufacturing paving materials and landscaping products.

  • Technology, Payments and Telecommunications. Conducted legal due diligence of a Kazakhstan payment-solutions company and advised technology and telecommunications businesses on payment-system regulation, telecommunications and satellite matters.

  • Investment and Infrastructure Projects. Prepared a Kazakhstan-law legal opinion for the EBRD in connection with a public-private partnership project and advised international investors on construction and EPC matters in Kazakhstan.

  • Merger Control and Regulatory Approvals. Assisted international and Kazakhstan investors with obtaining antimonopoly consents and other regulatory approvals for investment and M&A projects.

  • Corporate and Commercial Support. Advises international companies on corporate governance, commercial contracts, day-to-day operations, charter capital increases, pledge registrations and corporate restructurings.

  • Market Entry and Corporate Establishment. Advised international businesses on establishing operations in Kazakhstan, including the registration of companies and branches for an automobile dealer, a waste-recycling investor and a major state-owned corporation.

  • Employment and Mobility. Advised a major Japanese corporation on employment, secondment, immigration and work-permit matters, as well as general corporate law issues.

  • AIFC Corporate Matters. Assisted with the registration and post-registration activities of numerous AIFC entities and prepared a legal memorandum on corporate protection mechanisms under AIFC regulations.

Pro Bono and Community Work

Doszhan participates in pro bono and community initiatives, providing legal support to non-profit organisations and individuals on matters involving Kazakhstan law.

His work includes:

  • Support for the Red Cross. Advised on the legal requirements applicable to the use of satellite phones and prepared annual assessments of the organisation’s internal policies for compliance with Kazakhstan law.

  • Legal Assistance to Individuals. Advised individuals seeking compensation following the January 2022 events through a programme of the National Chamber of Entrepreneurs of the Republic of Kazakhstan “Atameken”.

  • Open Seminar on Renewable Energy Regulation. Delivered a seminar for faculty members and students of SDU University on the legal regulation of renewable energy sources in Kazakhstan.

  • Guest Lecture at SDU University. Delivered a lecture for first-year students on the profession, role and practical work of a legal adviser.
