Experience

Contracts and Business Law
  • Legal advice for major local and foreign clients on a wide range of activities in the mining sector in Kazakhstan, including projects involving gold, copper and vanadium;
  • Legal support of several investors in major due diligence of mining assets in Kazakhstan in preparation for private placement;
  • Legal assistance to a major Kazakhstani mining joint venture with due diligence of its assets and its incorporation;
  • Representation of an Australian mining company in its acquisition of participating interest in a local company possessing the rights to gold deposits; conducted due diligence, drafted subsurface use contract amendments and gave advise on applicable Kazakhstani regulatory issues;
  • Our contract lawyers have participated in the drafting of a number of the regulations on mining, including current regulations on the transparency initiative in extractive industries.

Dispute Resolution and Litigation
  • Our tax and litigation lawyers represented a major uranium producer in Kazakhstan in its tax litigation against the Tax Committee;
  • Litigation lawyers represented an aluminium producer on its claims under the notification on payment of export duties;
  • Represented the client – a large mining company – in court case against one of the largest Kazakhstani second-tier banks on the enforcement of its guarantee, issued as collateral for the fulfilment of the obligations of the contractor. As a result of court proceedings, the bank was obliged to pay to the client the amount of collateral (more than USD 700,000).
Regulatory Compliance and Environment
  • Legal advice for a Kazakhstani-French joint venture producing uranium in South Kazakhstan Region on different issues concerning incorporation and regulatory compliance: consulting and assisting major mining joint venture with establishment of the social fund;
  • Legal support of an Australian mining company in its acquisition of the participating interest in local company possessing the rights to gold deposits; conducted due diligence, drafted subsurface use contract amendments and advised on applicable Kazakhstan regulatory issues
Employment and Labour
  • Representation of interests for a number of clients during process of litigating former employees in suits regarding illegal dismissals and their restoration to work;
  • Legal advice for and representation of large drilling company on the collective claim of former employers with regard to compensation payment;
  • Legal advice for uranium-producing company on termination of employment contract and terms of payment for extra work;
  • Preparation of legal conclusion to large uranium producer on compensation payment scheme for employees for extra work, work on vacation and compensation for unused vacation during termination process.
