Selected Experience:

• Major Oil and Gas M&A Transactions. Advised on the sale of a 100% shareholding in a publicly listed oil and gas exploration and production company for USD 515 million and on the proposed USD 77 million sale of a concession project by an internationally listed E&P company.

• Acquisition of Oil and Gas Assets. Advised international investors, including publicly listed companies from Australia and the United Kingdom, on the acquisition of oil and gas fields, exploration blocks and producing projects in Kazakhstan.

• Gas Processing Joint Ventures. Advised leading international industrial gases, engineering and chemicals companies, as well as Kazakhstan’s national oil and gas companies, on establishing joint ventures for major gas processing plant projects in Kazakhstan.

• Energy Infrastructure Acquisition. Advised foreign investors on the USD 30 million acquisition of a major electricity and district-heating company in Southern Kazakhstan, including the preparation of transaction documents and regulatory filings.

• Marine Asset Transactions. Advised a global marine services group on complex, simultaneous multi-party transactions involving the acquisition of a marine asset, including regulatory compliance, shareholder approvals, acquisition financing and restructuring matters.

• Acquisition Financing. Advised on acquisition financing arrangements relating to the proposed purchase of a marine asset for research and development purposes.

• Corporate Restructuring. Advised a major international industrial gases producer on a comprehensive corporate restructuring by way of accession, including the transfer of employees, contracts, customs accounts and loans, preparation of corporate documentation and completion of state-registration procedures.

• Financing and Assignment Transactions. Advised on the assignment and transfer of enforcement rights in respect of financial liabilities exceeding USD 4.5 million and under a factoring transaction involving the Kazakhstan subsidiary of a leading international commodities and mining trader.

• Construction Arbitration. Represented a major uranium producer in complex arbitration proceedings concerning the recovery of damages under a construction contract. The dispute lasted approximately three years and involved multiple independent expert examinations.

• EPC and FIDIC Contracts. Drafted and negotiated a turnkey engineering, procurement and construction contract for the design and construction of a pipeline and the supply of equipment and materials for a major oil producer in Western Kazakhstan, based on FIDIC standard forms.

• Oilfield Services and Drilling Contracts. Drafted and negotiated complex drilling and other oilfield services contracts for Kazakhstan national and international companies.

• Commercial, Tax and Data Protection Advice. Advised international businesses on commercial and tax structuring, employee loyalty and incentive programmes, contractual and currency control matters, and developed a comprehensive personal data protection framework for an international manufacturer of construction equipment.
